Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Developer Portal and any related tools, dashboards, questionnaires, messaging, quotes, orders, and support features (collectively, the "Service").
The Service is operated for and on behalf of one or more entities referred to in these Terms as "Covenant", which includes Covenant US and Covenant India (together with their affiliates, officers, directors, employees, and agents, "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
1. Scope of the Service
The Service is a project intake, collaboration, and support platform that enables you to:
- Submit project and support questionnaires, including technical requirements, business context, and attachments.
- Communicate with our team via chat, comments, and support tickets related to your submissions and support requests.
- Receive and review quotes, including scope breakdowns, estimated hours, rates, and payment schedules.
- Make payments (e.g., deposits and balances) via integrated third-party payment processors such as Stripe.
- Track orders, project status, support ticket status, meetings, and other related activities through dashboards and status timelines.
The Service itself is a workflow and communication tool. It does not, by itself, constitute legal, tax, financial, investment, or other professional advice. Any decisions you make based on information accessed through the Service remain your sole responsibility.
2. Eligibility and Accounts
You may use the Service only if you:
- Are at least 18 years old (or the age of majority in your jurisdiction).
- Have the authority to enter into these Terms on behalf of yourself or the organization you represent.
- Comply with all applicable laws and regulations in the United States, India, and the country or region where you reside or use the Service.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use of your account or any security incident.
3. User Content and Submissions
"User Content" means information, text, files, attachments, media, configurations, comments, messages, or other materials that you submit or upload to the Service, including:
- Questionnaire responses and project details;
- Support tickets and support questionnaire answers;
- Files and attachments uploaded for review;
- Chat messages and admin comments visible to you; and
- Any other materials you intentionally or unintentionally provide.
You retain ownership of your User Content. By submitting User Content, you grant Covenant a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, transmit, display, and otherwise use your User Content solely as necessary to operate, maintain, improve, secure, and provide the Service and any related professional services that you have requested. This includes internal quality, reliability, and product improvement efforts.
You represent and warrant that:
- You have all necessary rights, consents, and permissions to submit the User Content and to grant the license above.
- Your User Content does not infringe, misappropriate, or violate the intellectual property, privacy, data protection, or other rights of any third party.
- Your User Content will not contain malicious code, unlawful material, or content prohibited by these Terms.
4. Acceptable Use
You agree that you will not, and will not permit others to:
- Use the Service for unlawful, harmful, fraudulent, or infringing purposes in any jurisdiction.
- Upload or transmit content that is defamatory, harassing, abusive, hateful, obscene, exploitative, or otherwise objectionable.
- Attempt to gain unauthorized access to the Service, other user accounts, or any related systems, networks, or data.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service, except where permitted by law.
- Interfere with or disrupt the integrity or performance of the Service, including by uploading malicious code or performing denial-of-service attacks.
- Use the Service to collect or harvest personal data in violation of applicable data protection laws.
We may suspend or terminate your access to some or all of the Service if we believe, in our sole discretion, that you have violated these Terms or that your use presents a risk to us, other users, or any third party.
5. Quotes, Orders, and Support Services
The Service may enable you to request project work or support, receive quotes, and create related orders. Unless explicitly stated in a signed master services agreement (MSA) or other separately executed contract with you:
- All quotes and scopes are estimates and do not guarantee outcomes, timelines, or specific performance.
- Quotes, orders, and payment schedules presented through the Service are subject to change based on clarifications, change requests, and technical feasibility.
- Any work we perform is provided on a best-efforts basis, subject to dependencies, third-party tools, and infrastructure outside our control.
Any additional contractual terms agreed between you and Covenant (for example, an MSA, statement of work, or order form) will govern to the extent they conflict with these Terms, but only in relation to the specific project or order covered by such agreement.
6. Payments, Billing, and Refunds
Payments for deposits, balances, or other charges related to quotes and orders are normally processed by third-party payment processors such as Stripe. By initiating a payment, you agree to any applicable third-party terms, including Stripe's own terms and policies.
Unless a separate written agreement with you states otherwise:
- All fees, including deposits and any usage-based or subscription fees, are non-refundable except where required by law.
- You are responsible for any applicable taxes, duties, or government charges associated with your use of the Service and related professional services.
- We may suspend or limit access to the Service, quotes, or ongoing work if invoices or required payments are overdue.
7. Third-Party Services and Integrations
The Service uses and may integrate or interoperate with third-party platforms, including but not limited to:
- Hosting and infrastructure providers;
- Authentication and identity providers;
- Payment processors (e.g., Stripe);
- Analytics, logging, and error monitoring services; and
- Communication or file-storage services.
We do not control and are not responsible for third-party services or their terms, policies, or availability. Your use of third-party services is at your own risk and may be governed by separate terms and privacy policies.
8. Data Protection and Privacy
Our handling of personal information in connection with the Service is described in our Privacy Policy, which is incorporated by reference into these Terms. Please review the Privacy Policy carefully to understand how we collect, use, and protect personal data.
By using the Service, you acknowledge and agree that your personal information (and, where applicable, information of your end users or team members that you input into the Service) may be processed in and transferred between the United States, India, and other countries where our infrastructure, service providers, or support personnel are located, in accordance with applicable data protection laws.
9. Intellectual Property
All rights, title, and interest in and to the Service (including its underlying software, architecture, design, user interface, documentation, and any improvements or derivatives) are and will remain the exclusive property of Covenant and its licensors. Except for the limited rights granted in these Terms, you receive no license or rights under any intellectual property owned or controlled by Covenant.
You may not use our trademarks, trade names, logos, domain names, or other brand features without our prior written permission.
10. No Warranties; Service "As Is"
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, INCLUDING ALL FEATURES, CONTENT, DATA, QUOTES, DASHBOARDS, AND ANY RELATED PROFESSIONAL SERVICES, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WITHOUT LIMITING THE FOREGOING, COVENANT, COVENANT US, AND COVENANT INDIA EXPRESSLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT:
- The SERVICE will be uninterrupted, secure, or error-free;
- Any INFORMATION OR OUTPUT (INCLUDING ESTIMATES, QUOTES, OR TECHNICAL RECOMMENDATIONS) PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PARTICULAR NEEDS; OR
- DEFECTS OR ERRORS WILL BE CORRECTED WITHIN A PARTICULAR TIMEFRAME OR WITHOUT ADDITIONAL COST OR SCOPE CHANGES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COVENANT, COVENANT US, COVENANT INDIA, OR THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES; OR
- ANY DAMAGES, LOSSES, OR COSTS ARISING FROM OR RELATED TO:
- YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE;
- ANY CONTENT, INFORMATION, OR OUTPUT PROVIDED THROUGH THE SERVICE, INCLUDING QUOTES, ESTIMATES, OR IMPLEMENTATION DECISIONS TAKEN BY YOU;
- ANY THIRD-PARTY SERVICES, INCLUDING PAYMENT PROCESSORS, HOSTING PROVIDERS, OR INTEGRATIONS; OR
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, EXCEPT WHERE CAUSED SOLELY BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, AND ONLY TO THE EXTENT SUCH LIMITATION IS NOT PROHIBITED BY LAW.
TO THE EXTENT THAT ANY LIABILITY CANNOT BE EXCLUDED UNDER APPLICABLE LAW, THE AGGREGATE LIABILITY OF COVENANT, COVENANT US, AND COVENANT INDIA (AND THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE Terms, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WILL IN NO CASE EXCEED THE GREATER OF:
- THE AMOUNT YOU HAVE PAID TO US VIA THE SERVICE FOR THE SPECIFIC PROJECT OR ORDER GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS (US $100).
NOTHING IN THESE TERMS SEEKS TO EXCLUDE OR LIMIT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW (INCLUDING, WHERE APPLICABLE, LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR CERTAIN STATUTORY CONSUMER RIGHTS).
12. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Covenant, Covenant US, Covenant India, and their respective affiliates, officers, directors, employees, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service;
- Your User Content;
- Your violation of these Terms; or
- Your infringement or alleged infringement of any intellectual property or other rights of any third party.
13. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or in connection with the Service will be governed by and construed in accordance with:
- For users primarily located in the United States: the laws of the State of Delaware, USA, without regard to its conflict of laws rules.
- For users primarily located in India: the laws of India, without regard to its conflict of laws rules.
- For all other users: the laws of the jurisdiction in which Covenant has designated its primary contracting entity for your account, without regard to its conflict of laws rules.
Subject to any mandatory arbitration or consumer protection laws that apply in your jurisdiction, you agree that any dispute, controversy, or claim arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in:
- Wilmington, Delaware, USA (for U.S.-based users); or
- Bengaluru, Karnataka, India (for India-based users);
unless we mutually agree in writing to another forum or dispute resolution mechanism (such as arbitration).
Nothing in this Section prevents either party from seeking interim, injunctive, or equitable relief in any competent court to protect its rights pending final resolution.
14. Service Changes, Suspension, and Termination
We may, at any time and without prior notice, modify, suspend, or discontinue all or part of the Service, including specific features or integrations, provided that we will use reasonable efforts to avoid materially adverse changes to active, paid obligations where feasible.
We may suspend or terminate your access to the Service if:
- You materially violate these Terms or any applicable law;
- Your use of the Service creates risk or potential legal exposure to us or others; or
- We are required to do so by law, regulation, or competent authority.
Upon termination of your access to the Service, your right to use the Service will immediately cease. Some provisions of these Terms, by their nature, will survive termination, including without limitation Sections on intellectual property, disclaimers, limitations of liability, indemnification, and governing law.
15. International Use
The Service is accessible from various countries. You are solely responsible for ensuring that your use of the Service complies with all local laws and regulations applicable to you, including export control, data protection, and consumer protection laws.
You represent that you are not located in, and will not use the Service from, any country or region that is subject to comprehensive embargoes or sanctions under the laws of the United States, India, or other applicable jurisdictions, and that you are not a person or entity prohibited from receiving services under such laws.
16. Changes to These Terms
We may update these Terms from time to time. When we do so, we will revise the "Updated" date at the top of this page and may provide additional notice within the Service where appropriate.
Your continued use of the Service after the updated Terms are posted (and, where legally required, after we obtain your consent) constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
17. Miscellaneous
These Terms constitute the entire agreement between you and Covenant regarding your use of the Service, except where superseded by a signed MSA, order form, or similar written agreement.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms without restriction in connection with a merger, acquisition, reorganization, or sale of assets.
